NOISECOUPLING.COM END USER LICENSE AGREEMENT FOR CHIPQUAKE SOFTWARE
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE PURCHASING, INSTALLING, OR USING THE
CHIPQUAKE SOFTWARE. USE THE VERTICAL SCROLL BAR TO SCROLL DOWN AND READ THE
ENTIRE TEXT UNTIL YOU REACH THE "End of the Agreement" STATEMENT.
This software End User License Agreement ("Agreement") is a legal agreement between you and
NoiseCoupling.com regarding ChipQuake software and related explanatory materials and documentation
("Software") that you are about to install or run. Read it carefully before continuing the installation or the use
of ChipQuake software.
If you agree with the terms and conditions of this Agreement, click on the "I Agree" button, and you will be
permitted to install or run the ChipQuake software. If you do not agree to all of the terms and conditions of
this Agreement, click on the "I Do Not Agree" button, and the installation or run of the ChipQuake
software will terminate.
By accepting this Agreement you also represent to NoiseCoupling.com that you have the legal authority to
accept this Agreement on behalf of yourself and of any legal entity you represent. Upon your acceptance of
this Agreement, NoiseCoupling.com grants to you a nonexclusive license to use the ChipQuake software,
provided that you agree to the following terms and conditions:
NoiseCoupling.com grants you a non-exclusive license to install and use the Software on a single computer
as long as you comply with all the terms of this agreement. You may make one backup copy of the Software,
provided that the backup copy is not installed on another computer. You may not transfer the rights to the
backup copy unless you transfer the rights to the entire Software.
COPYRIGHT AND TRADEMARK RIGHTS
The ChipQuake software is protected by the United States Copyright Law. The ChipQuake software is
owned by NoiseCoupling.com, and its source code and mathematical algorithms are trade secrets of
NoiseCouplling.com. This Agreement does not grant you any intellectual property rights in the Software.
You agree not to modify, adapt, decompile, disassemble, reverse engineer, or attempt to discover the source
code of the Software. You may not use the Software to publish comparisons to other software tools without
prior written permission from NoiseCoupling.com.
This Agreement is effective until terminated. NoiseCoupling.com has the right to terminate your license
immediately if you fail to comply with any term of this agreement.
The Software is being distributed to you AS IS without warranty. This ChipQuake software version is the
Learning Edition and it is intended for learning purposes and not for commercial use. NoiseCoupling.com and
its officers, partners, and employees make no warranty as to its use, functionality, or performance.
NoiseCoupling.com does not warrant the results and performance you may obtain using the Software.
NoiseCoupling.com makes no warranties, express or implied, of any kind, as to noninfringement of third party
rights, merchantability, or fitness for any particular purpose. You assume the entire risk as to the usage,
results, and performance of the Software.
This ChipQuake software version is the Learning Edition and it is intended for learning purposes and not for
commercial use. You agree to install and use the Software at your sole risk. In no event will
NoiseCoupling.com or its officers, partners, or employees be liable to you or to any third party for any
consequential, incidental, indirect, or special damages, including but not limited to any lost profits, lost of data,
or lost savings, lost of any kind of information, business interruptions, or for any claim by any third party.
NoiseCoupling.com is not obligated to provide any support, assistance, installation, training or other services
related to the Software.
You agree to submit and resolve any dispute, controversy, or claim between you and NoiseCoupling.com or
its officers, partners, or employees by arbitration pursuant to the applicable law sections and commercial
arbitration rules of the American Arbitration Association, and under the supervision of the American Arbitration
Association. The arbitration will be held in Ventura County (or the closest neighboring county if not available
in Ventura County), California, U.S.A., or in the city, county, and state where the current location of the
NoiseCoupling.com headquarters is, in the case NoiseCoupling.com relocates its headquarters. The
arbitration will be held before a sole arbitrator knowledgeable in electronics industry and computer software
programming. The arbitrator's award will be final and binding, and judgement thereon may be entered by any
court of competent jurisdiction. The arbitrator will not have the power to award punitive or exemplary
damages, or any damages excluded by this Agreement. Each party will bear its own attorneys' fees and other
costs or expenses associated with the arbitration. The arbitrator will not have the power to award any
damages or compensations for the attorneys' fees or any other costs or expenses associated with the
This Agreement will be governed by the laws of California, U.S.A.. If any part of this Agreement is found void
and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and
enforceable according to its terms.
You agree that the Software will not be shipped, transferred or exported onto any country or used in any
manner prohibited by the United States Export Administration Act or any other export laws, restrictions, or
